Case Background:
On October 31, 2018, the initial complaint in this securities class action was filed against Honeywell International Inc. (“Honeywell” or the “Company”), and certain of Honeywell’s directors and officers, asserting violations of Sections 10(b) and 20(a) of the Securities Exchange Act. This is a federal securities class action brought on behalf of all persons who purchased or acquired Honeywell securities from February 9, 2018 through October 19, 2018, (“Class Period”) both dates inclusive.
The complaint alleges that throughout the Class Period, Defendants made materially false and misleading statements regarding Honeywell’s business, operations and compliance policies. Specifically, Defendants made false and/or misleading statements and/or failed to disclose that: (1) Honeywell’s Bendix asbestos-related liability was greater than initially reported; (2) the Company maintained improper accounting practices in connection with its Bendix asbestos-related liability; and (3) as a result, Honeywell’s public statements were materially false and misleading at all relevant times.
Current Status of Case:
Lead Plaintiff filed a third amended complaint (the “Complaint”) on December 30, 2019. On May 18, 2020, the Court issued an Order denying Defendants' Motion to Dismiss. On May 3, 2022, the Court entered an order approving the settlement of this action. This action has concluded.
