The Hon. Richard D. Bennett |
CLASS PERIOD |
September 16, 2015 through November 1, 2019 |
SECURITY TYPE |
Class A and Class C common stock |
Case Background:
The initial complaint in this securities class action was filed on February 10, 2017 against Under Armour, Inc. (“Under Armour”) and certain of Under Armour’s directors and officers, asserting violations of sections 10(b) and 20(a) of the Securities Exchange Act. This action is being brought on behalf of a proposed class of investors who purchased Under Armour Class A and/or C common stock between September 16, 2015 and November 1, 2019 inclusive (the “Class Period”).
The complaint alleges that, during the Class Period, Defendants violated the federal securities laws by making materially false and misleading statements or omitting to state facts necessary to make statements made not misleading in public filings and other public statements during the Class Period. Specifically, the complaint alleges that Defendants made false and misleading statements about: (1) demand for the company’s products; (2) drivers of the company’s growth; and (3) the company’s financial prospects. The complaint further alleged that, as a result, Under Armour’s stock price was artificially inflated, which allegedly resulted in substantial damage to Class Members.
