Case Background:
On April 03, 2019, the initial complaint in this securities class action was filed against Amyris, Inc. (“Amyris” or the “Company”), and certain of Amyris’ directors and officers, asserting violations of Sections 10(b) and 20(a) of the Securities Exchange Act. This is a federal securities class action on behalf of all persons and entities who purchased or acquired Amyris securities between March 15, 2018 and April 11, 2019, (“Class Period”) both dates inclusive.
The complaint alleges that throughout the Class Period, Defendants made false and/or misleading statements, as well as failed to disclose material adverse facts about the Company’s business, operations, and prospects. Specifically, the complaint alleges that Defendants made false and/or misleading statements and/or failed to disclose that: (1) the Company lacked sufficient resources to accurately account for certain transactions; (2) as a result, there was a material weakness in the Company’s internal controls over financial reporting; (3) as a result, the Company would be unable to timely file its annual report; and (4) as a result of the foregoing, Defendants’ positive statements about the Company’s business, operations, and prospects were materially misleading and/or lacked a reasonable basis.
This is a class action on behalf of persons and entities that purchased or otherwise acquired Amyris securities between March 15, 2018 and April 11, 2019, inclusive.
Current Status of Case:
Lead Plaintiff filed an amended complaint (“Amended Complaint”) on September 13, 2019. Defendants filed a Motion to Dismiss the Amended Complaint on October 25, 2019. On October 5, 2020, the Court issued an Order denying Defendants' Motion to Dismiss. On July 30, 2021, Lead Plaintiff filed a Motion to Certify the Class. On December 8, 2021 the Court granted in part Lead Plaintiff’s Motion for Class Certification. On November 8, 2022, the Court granted the Motion for Final Approval of the Class Action Settlement. This case has concluded.
